1. Acceptance of these terms

These Terms of Service (“Terms”) are a legal agreement between you and FZ Velmora LLC (“FZ Velmora,” “we,” “us,” or “our”) governing your use of the website located at fzvelmora.com and any related pages we operate (together, the “Site”).

By accessing or using the Site you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. About FZ Velmora and the Site

FZ Velmora is a digital advertising and media buying company organized in the State of Wyoming, United States. We provide media buying, paid advertising, campaign management, creative strategy, performance marketing, and analytics and reporting services to businesses and online brands.

The Site is provided for informational purposes: to describe our company and services and to allow prospective clients to contact us. Nothing on the Site constitutes an offer to provide services on any particular terms, and we may decline to enter into an engagement at our discretion.

3. Services and client agreements

Our advertising and media buying services are provided under separate written agreements (“Client Agreements”) that set out the scope of work, fees, responsibilities, and other terms. In the event of a conflict between these Terms and a Client Agreement, the Client Agreement will govern in relation to the services it covers.

Descriptions of services on the Site are general in nature. The specific services delivered in any engagement are defined solely by the applicable Client Agreement. We do not publish fixed prices on the Site; pricing is determined on the basis of the scope of each engagement.

4. Permitted and prohibited use

You may use the Site for lawful purposes and in accordance with these Terms. You agree that you will not:

• Use the Site in any way that violates applicable federal, state, local, or international law;
• Submit false, misleading, or fraudulent information through the Site, including through our contact form;
• Use automated means, including bots, scrapers, or scripts, to access the Site, submit forms, or collect information from the Site without our prior written permission;
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems, or interfere with the proper working of the Site;
• Introduce viruses, malware, or other harmful code;
• Use the Site to send unsolicited commercial communications or spam;
• Copy, reproduce, republish, or distribute Site content except as permitted in these Terms.

We may suspend or restrict access to the Site for any user who we believe has violated these Terms.

5. Inquiries and communications

When you submit an inquiry through the Site or otherwise contact us, you agree that we may contact you in response using the details you provide. Submitting an inquiry does not create a client relationship, an obligation on either party to enter into one, or any duty of confidentiality unless and until a Client Agreement is signed. Please do not send confidential or proprietary information through the contact form beyond what is needed for us to understand your inquiry.

Information you provide is handled in accordance with our Privacy Policy.

6. Intellectual property

The Site and its contents, including text, graphics, logos, brand marks, design elements, and the selection and arrangement of those materials, are owned by FZ Velmora or its licensors and are protected by copyright, trademark, and other intellectual property laws. “FZ Velmora” and the FZ Velmora mark are identifiers of FZ Velmora LLC.

You may view, download, and print pages from the Site for your own internal business use in evaluating our services. You may not otherwise reproduce, modify, distribute, publicly display, or create derivative works from Site content without our prior written consent. All rights not expressly granted are reserved.

7. No guarantee of advertising results

Advertising performance depends on many factors outside any provider’s control, including platform algorithms and policies, auction dynamics, market conditions, competition, seasonality, product and pricing, website performance, and the accuracy of tracking and data. Descriptions of our approach and services on the Site are not promises of any particular outcome.

Unless expressly stated otherwise in a signed Client Agreement, FZ Velmora does not guarantee any specific return on advertising spend, cost per acquisition, revenue, lead volume, growth rate, or other performance metric. Any information on the Site regarding our methods is provided for general informational purposes and does not constitute professional, legal, financial, or investment advice.

8. Third-party platforms and links

Our services involve advertising, analytics, and measurement platforms operated by third parties. Those platforms are governed by their own terms, advertising policies, and privacy practices, and their availability, features, and policies may change without notice. FZ Velmora is not responsible for the actions, decisions, outages, policy enforcement, or data practices of any third-party platform.

The Site may contain links to third-party websites for convenience. We do not control and are not responsible for the content, accuracy, or practices of linked sites, and a link does not imply endorsement.

9. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FZ VELMORA, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS LIMITATION APPLIES TO THE USE OF THE SITE ONLY; LIABILITY IN CONNECTION WITH SERVICES IS GOVERNED BY THE APPLICABLE CLIENT AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless FZ Velmora and its members, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

12. Governing law and disputes

These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. You agree that any legal action or proceeding relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

13. General provisions

• Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and FZ Velmora regarding use of the Site.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Availability. We may modify, suspend, or discontinue the Site or any part of it at any time without notice.

We may revise these Terms from time to time. The most current version will always be posted on this page with its effective date. Changes take effect when posted. By continuing to use the Site after changes are posted, you accept the revised Terms.
